Acceptance of Terms

By accessing and using PRMtime's service, including its website and mobile applications (the "Service"), you accept and agree to be bound by the terms and provisions of this agreement ("Terms of Service" or "TOS"). These Terms of Service govern the relationship between you and PRMtime Fantasy Apps, LLC (hereinafter "PRMtime" or "Us" or "We") regarding your use of the Service. PRMtime reserves the right to make additions, revisions, and modifications to these terms at any time. It is therefore important for you to periodically refer to http://www.prmtime.com for the most current version of our TOS. By continuing to use the Site following such modifications, you agree to comply with the Agreement (the "Agreement") and to be bound by any such modifications to the TOS.

Privacy Policy

Use of the Service is also governed by PRMtime's Privacy Policy, which is incorporated herein by reference. Your privacy is important to us. By creating an account or accessing or using the Service, you accept and agree to be bound by these Terms of Service and consent to the collection, use and storage of your information as outlined in PRMtime's Privacy Policy.

Accessing Service

To access the Service, you must provide all equipment and software necessary to access the World Wide Web and connect to the Service, including, but not limited to, a mobile device that is suitable to connect with and use the Service, in cases where the Service offers a mobile component. You are responsible for any fees, including internet connection or mobile fees that you incur when accessing the Service. You acknowledge and agree that if PRMtime disables access to your account, you may be prevented from accessing the Service, your account details or any files or other content which is contained in your account.

Use of Service

The following restrictions apply to the use of the Service:

1. You shall not use the Service unless you have agreed to these Terms of Service.
2. You shall not create an Account or access the Service if you are under the age of 13.
3. You shall monitor your Account to deny use by minors. You accept full responsibility for any unauthorized use of the Service by minors. You are responsible for any use of your credit card or other payment instrument by minors.
4. You shall not create an account using a false identity or information, or on behalf of someone other than yourself.
5. You shall not have an Account or use the Service if you have previously been removed by PRMtime, or previously been banned from using the PRMTime Service.
6. You shall use the Service only for non-commercial purposes.
7. You shall not use the Service to advertise, or solicit, or transmit any commercial advertisements to anyone.
8. You shall not use the Service to engage in any illegal conduct, and you agree that you are responsible for compliance with any applicable local laws. When you register with PRMtime, you acknowledge that in using the Service to send electronic communications, you will be causing communications to be sent through PRMtime's computer networks, portions of which are located in the United States and portions of which may be located abroad. As a result, and also as a result of network architecture and business practices and the nature of electronic communications, even communications that seem to be intrastate in nature can result in the transmission of interstate communications regardless of where you are physically located at the time of transmission. Accordingly, by agreeing to this TOS, you acknowledge that use of the Service results in interstate data transmissions.
9. You shall not use the Service to transmit any material (by email, posting or otherwise) that, intentionally or unintentionally, violates any applicable local, state, national or international law, or any rules or regulations promulgated thereunder.
10. You shall not use the Service to access, or to attempt to access, the accounts of others, or to penetrate, or attempt to penetrate, security measures of PRMtime's or another entity's computer software or hardware, electronic communications system, or telecommunications system, whether or not the intrusion results in the corruption or loss of data.
11. You shall not use the Service to collect, or attempt to collect, personal information about third parties without their knowledge or consent.
12. You shall not resell the Service without PRMtime's prior authorization
13. You shall not, under any circumstances, use the Service for any commercial purpose.
14. You shall not, under any circumstances, interfere or attempt to interfere with the proper functioning of the Service
15. You agree you will not, under any circumstances, post any information that is abusive, threatening, obscene, defamatory, libelous, or racially, sexually, religiously, or otherwise objectionable
16. You agree you will not, under any circumstances, attempt to harass, abuse, or harm, or advocate to incite harassment, abuse or harm of another person, group, including PRMtime employees and customer service representatives
17. You shall not make available any material or information that infringes any copyright, patent, trademark, trade secret, right of privacy, or other right of any person or entity or impersonates any other person, including without limitation a PRMtime employee. Information, materials, logos, and all other trademarks, service marks and graphics used in connection with the Service and other similar items (the "Intellectual Property") are protected by copyright and trademark law, and you may not modify, rent, lease, loan, sell, distribute or create derivative works based on such Intellectual Property (either in whole or in part) unless you have been specifically told that you may do so by PRMtime or by the owners of that Intellectual Property, in a separate agreement. These Terms of Service do not transfer from PRMtime or any other Intellectual Property owner to you any PRMtime or third party intellectual property, and all right, title and interest in and to such property will remain (as between you and PRMtime) solely with PRMtime.

Account Information

When creating or updating an Account on the Service, you are required to provide PRMtime with certain personal information, which may include your name, address, birth date, e-mail address, and, in some cases, payment information. This information will be held and used in accordance with PRMtime's Privacy Policy. You agree that you will supply accurate and complete information to PRMtime, and that you will update that information promptly after it changes.

Payment of Fees

You acknowledge and agree that PRMtime is authorized, but not required, to act on payment instructions received form anyone using the Account. You authorize PRMtime to initiate debits or charges against your financial account or credit card for the amount then due for purchases made. All payments must be made in U.S. dollars from a U.S. bank. You acknowledge that transactions may be facilitated by a third party payment processor (the "Processor), and agree that PRMtime may share your information, including information about your financial accounts, with the Processor for this purpose. You agree to pay all fees and applicable taxes incurred by you or anyone using an Account registered to you. PRMtime may revise the pricing for the goods and services offered through the Service at any time. YOU ACKNOWLEDGE THAT PRMTIME IS NOT REQUIRED TO PROVIDE A REFUND FOR ANY REASON.

Updates to the Service

You understand that the Service is an evolving one. PRMtime may require that you accept updates to the Service you have installed on your computer or mobile device. You acknowledge and agree that PRMtime may update the Service with or without notifying you.

Submissions

Any material you send us, solicited or unsolicited, including but not limited to creative suggestions, ideas, notes, concepts, or other information (collectively, the "Submissions"), shall be deemed, and shall remain, our property. None of the Submissions shall be subject to any obligation of confidentiality on our part and we shall not be liable for any use or disclosure of any Submissions. Without limitation of the foregoing, we shall exclusively own all now-known or hereafter existing rights to the Submissions of every kind and nature throughout the universe and shall be entitled to unrestricted use of the Submissions for any purpose whatsoever, commercial or otherwise, without compensation to the provider of the Submissions or any other person or entity.

Indemnification

You agree to indemnify and hold PRMtime, its affiliates, partners, contractors, vendors, officers, directors and employees harmless from any claim, demand, loss or damages (including legal fees and expenses) made or incurred by any third party arising out of or relating to your use of the Service, or any violation by you of these Terms of Service.

Disclaimers and Limitation of Liability

You expressly understand and agree that your use of the Service is at your sole risk. The Service is provided on an "As Is" and "As Available" basis. PRMtime expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. The materials and information provided with this Service could include technical, typographical, or photographic errors. PRMtime does not warrant that any of the materials or information provided with this Service are accurate, complete, or current. PRMtime does not make any commitment to update the materials or information. PRMtime, it's owners and employees, it's content providers, partners, and vendors and any of their employees shall not be held responsible for errors or omissions pertaining to the accuracy and reliability of any of the information related to the Service. PRMtime reserves the right to take down the site for periodic maintenance and upgrade, and depending on circumstances may not inform customers in advance of any such downtime. No advice or information, whether oral or written, obtained by you from PRMtime or through or from the Service shall create any warranty not expressly stated in the TOS. YOU EXPRESSLY UNDERSTAND AND AGREE THAT PRMTIME SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF PRMTIME HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM THE A) USE OR THE INABILITY TO USE THE SERVICE B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE OR E) ANY OTHER MATTER RELATING TO THE SERVICE. In no event shall PRMtime's total liability to you for all damages, losses, or causes of action exceed the purchase price of the Service. PRMtime has not reviewed all of the sites linked to its internet web site and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by PRMtime of the site. Use of any such linked web site is at the user's own risk.

Termination

PRMtime at any time may terminate this Agreement with or without cause. You may terminate this agreement by submitting a written request to PRMtime. Regardless of which party terminates the Agreement, the Service may be immediately suspended or disabled, without notice. In the event of either a suspension or termination of the Service to you, PRM time shall not be held responsible for any consequences pertaining to lack of access to the Service.

General Provisions

Assignment

PRMtime may assign or delegate these Terms of Service and/or the PRMtime Privacy Policy, in whole or in part, to any person or entity at any time with or without your consent. You may not assign or delegate any rights or obligations under the Terms of Service or Privacy Policy without PRMtime's prior written consent, and any unauthorized assignment and delegation by you is ineffective.

No Third-Party Beneficiaries

You agree that, except as otherwise expressly provided in this TOS, there shall be no third-party beneficiaries to this agreement.

Supplemental Policies

PRMtime may publish additional policies related to specific services. Your right to use such services is subject to those specific policies and these Terms of Service.

Force Majeure

PRMtime shall not be liable for any delay or failure to perform resulting from causes outside the reasonable control of PRMtime, including without limitation, any failure to perform hereunder due to unforeseen circumstances or cause beyond PRMtime's control such as acts of God, terrorism, riots, embargoes, acts of civil or military authorities, fire, folds, accidents, strikes, delay/cancellation of the sports season, or shortages of transportation facilities, fuel, energy, labor or materials.

Jurisdiction and Governing Law

This agreement and the application or interpretation of this agreement, shall be governed exclusively by its terms and in accordance with the laws of the State of Pennsylvania, without regard to its conflict of law provisions. You and PRMtime agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Allegheny, Pennsylvania.

Entire Agreement

The TOS and any supplemental policies expressly incorporated by reference herein (including the PRMtime Privacy Policy) constitutes the entire agreement between you and PRMtime regarding your use of the Service from which you accessed the Agreement and governs you use of the Service, superseding any prior agreements between you and PRMtime with respect to the Service. PRMtime may modify this Agreement periodically without notice. If any provision of the Agreement is determined invalid, all other provisions will remain in effect as fully valid.
